Quest Software acquired Vintela Inc.

IRVINE, Calif., July 12, 2005 – Quest Software, Inc. (Nasdaq: QSFT), a leading provider of application, database and infrastructure management solutions, today announced that it has completed the acquisition of Vintela, Inc., a privately-held leader in innovative platform integration solutions. The acquisition expands Quest’s product portfolio of infrastructure management solutions to allow existing Microsoft products—such as Active Directory, Windows Group Policy, Systems Management Server (SMS) 2003, and Microsoft Operations Manager (MOM) 2005—to integrate with systems outside the realm of Windows—including Unix, Linux, Java and Mac systems.

“At Quest, everything we do is focused squarely on helping our customers achieve the greatest benefit from their existing IT investments,” said Vinny Smith, chairman and CEO, Quest Software. “While we have been heterogeneous in our approach to managing applications and databases, we have previously focused our infrastructure management products only on the Windows platform. With the addition of the Vintela products, and the talented people who created them, we can now help our customers better manage their cross-platform infrastructure through integration that extends the value of our management products beyond Windows.”

Under the terms of the definitive agreement announced on May 31, 2005, Quest is paying approximately $57.4 million in cash for the outstanding shares of Vintela, and assuming Vintela options that will convert into options to purchase approximately 1.4 million shares of Quest common stock.
